Terms of Service

These Terms of Service (“Terms”) govern your access to and use of closner.com and our related pages and online services (collectively, the “Site”), operated by Closner Equipment Co., Inc. (“Closner,” “we,” “us,” or “our”). By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

1. Eligibility

The Site is intended for business users who are at least 18 years old and able to form a binding contract. By using the Site, you represent that you meet these requirements and that any information you provide is accurate.

2. The Site and Our Services

The Site provides information about equipment for sale and rent, parts, service, financing, and other offerings, and lets you submit inquiries, request and electronically sign quotes, and contact our team. We may add, change, suspend, or discontinue any part of the Site at any time.

3. Equipment Listings, Pricing, and Availability

Equipment listings, specifications, hours, photos, descriptions, and pricing on the Site are provided for general information and are subject to change, prior sale, and availability. Listings and prices are not an offer to sell, and they do not create a binding contract. We make reasonable efforts to keep information accurate, but we do not warrant that listings, specifications, or pricing are complete, current, or free of errors, and we reserve the right to correct any error and to decline or cancel an order or quote affected by an error. Any sale, rental, or service is governed by a separate written agreement, invoice, or order between you and Closner.

4. Quotes and Electronic Signatures

When you electronically sign a quote on the Site, you consent to do business electronically and agree that your electronic signature has the same legal effect as a handwritten signature under the federal ESIGN Act and the Texas Uniform Electronic Transactions Act. You agree to provide accurate information, including your name and email address, and acknowledge that we capture signing details (date, time, IP address, and device information) for verification. Signing a quote indicates your acceptance of the proposal as presented; final terms remain subject to credit approval, final documentation, inventory availability, and Closner’s acceptance.

5. Accounts and Security

Certain areas of the Site require an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms or that we believe pose a security risk.

6. Parts, Service, and Warranty

New equipment is covered by the applicable manufacturer’s warranty, and used equipment is sold as described in the governing sale documents. Closner does not provide warranties through the Site itself. Any warranty, parts, or service work is subject to separate terms, manufacturer policies, and the applicable work order or invoice.

7. Acceptable Use

You agree not to:

  • Use the Site for any unlawful, fraudulent, or harmful purpose.
  • Interfere with or disrupt the Site, its security, or its underlying systems.
  • Attempt to gain unauthorized access to any account, system, or data.
  • Scrape, harvest, or copy Site content except as permitted by these Terms or with our written consent.
  • Submit false, misleading, or infringing information.

8. Intellectual Property

The Site and its content—including text, graphics, logos, photographs, and software—are owned by or licensed to Closner and are protected by intellectual property laws. Product names, brands, and logos are the property of their respective owners. You may view and use the Site for your own legitimate business purposes but may not reproduce, distribute, or create derivative works without our prior written permission.

9. Third-Party Links and Content

The Site may link to third-party websites, brochures, or resources that we do not control. We are not responsible for the content, products, or practices of those third parties, and links do not imply our endorsement.

10. Disclaimers

THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. THIS SECTION DOES NOT AFFECT ANY MANUFACTURER WARRANTY OR THE TERMS OF A SEPARATE SALE, RENTAL, OR SERVICE AGREEMENT.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CLOSNER AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

12. Indemnification

You agree to indemnify and hold harmless Closner and its officers, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your misuse of the Site or your violation of these Terms.

13. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. You agree that any dispute relating to the Site or these Terms will be brought exclusively in the state or federal courts located in Bexar County, Texas, and you consent to their jurisdiction.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Site after an update means you accept the revised Terms.
